This Agreement (“Agreement”), between the applicant completing this electronic access form (“Applicant”) and Yum Restaurant Services Group, Inc. (together with its parent, subsidiaries, and affiliates (which shall mean Yum! Brands, Inc. owns 51% or more of such affiliate), referred to as “System Owner”), concerns use of System Owner&s electronic communication systems (“E Systems”), including but not limited to internet, intranet, and e-mail systems. By clicking the check box below and submitting this electronic form, Applicant agrees to the following provisions (to which System Owner also agrees): System Owner and Applicant will take reasonable steps to limit use of the E Systems to authorized users within their respective organizations, including to immediately terminate access for persons whose authorization requires revocation due to termination of employment. In addition, System Owner will suspend Applicant&s account if it has remained inactive for a period of ninety days. In the event of a suspension, Applicant will be required to reactivate the account through their brand. System Owner owns the E Systems or has rights to use E Systems. All information on the E Systems, as well as the terms and conditions of this agreement, is the confidential information of System Owner and/or System Owner&s authorized suppliers, franchisees, licensees, joint venturer, or other third party (collectively, the “System”), and will not be used except for the benefit of the System as authorized by System Owner. System Owner will take reasonable steps to protect and monitor the E Systems, but cannot and does not guarantee (i) the privacy of Applicant, or the stability of the E Systems, from acts of God or war, utility shortages, viruses, computer hacking, or similar disruption beyond its reasonable control, or (ii) accuracy of all information on the E Systems. Applicant will follow, and take reasonable steps to ensure he/she follows, the guidelines and policies concerning use of the E Systems as posted from time to time by System Owner. Such guidelines and policies may include topics such as proper use of usernames and passwords, authorized access to different portions of the E Systems, authorized use of E Systems and information on the E Systems, and other topics. Applicant understands that unauthorized access or use of the E Systems or information could result in termination of Applicant&s access to the E Systems and other appropriate action. Applicant further agrees to keep all information contained on the System confidential, including any third party information posted on the System. Applicant understands and agrees to use the same degree of care it would use if it were its own Confidential Information. Applicant is responsible for the costs it incurs to connect to or communicate with the E Systems (such as, but not limited to, the costs of the Applicant&s computers, modems, software, and Internet access fees by service providers). This Agreement is the entire agreement of the parties concerning the subject matter, and may not be modified except in writing. No failure to act will be considered as a waiver. The laws of Kentucky will govern this Agreement. The parties agree to resolve any dispute relating to this Agreement through binding confidential arbitration conducted in Louisville, Kentucky, Dallas, Texas, or Irvine, California in accordance with the Commercial Arbitration rules of the American Arbitration Association (the "AAA"), except with one arbitrator.
